1. Sponsor

The sponsor of this promotion is Groh LLC, 1255 Union St. NE 7th Floor, Washington, DC 20002 ("Groh" or "Sponsor").

2. Agreement to Official Rules

By entering the "Win One, Give One" Everyday Foam Pit Giveaway (the "Promotion"), each entrant agrees to be bound by these Official Rules and by the decisions of Sponsor, which are final and binding in all matters relating to the Promotion.

3. Promotion Period

The Promotion begins on September 13, 2026 at 10:00 AM Eastern Time and ends on September 20, 2026 at 11:59 PM Eastern Time (the "Promotion Period"). Entries submitted before or after the Promotion Period will not be eligible. Sponsor's computer is the official time-keeping device for the Promotion.

4. Eligibility

The Promotion is open only to legal residents of the contiguous forty-eight states of the United States and the District of Columbia who are eighteen (18) years of age or older as of the date of entry. Employees, officers, members, and directors of Sponsor and its parent, affiliates, subsidiaries, and advertising, promotion, and fulfillment agencies, and the immediate family members and household members of each, are not eligible to enter or win. Void where prohibited or restricted by law.

5. How to Enter

5.1 Standard entry (one entry). During the Promotion Period:

• Follow @grohplayrooms on Instagram; and
• Complete and submit the official entry form at https://shopgrohplayrooms.com/pages/everyday-foam-pit-giveaway, providing your name, email address, Instagram handle, and confirmation that you are a legal resident of the contiguous forty-eight United States or the District of Columbia and are eighteen (18) years of age or older.

Limit one (1) standard entry per person and per Instagram account. Entries submitted by any automated means, or by any entity or service that submits entries on an entrant's behalf, are void.

5.2 Bonus entries (up to five). After completing a standard entry, an entrant may earn up to five (5) additional entries by commenting on the official giveaway post published on the @grohplayrooms Instagram account during the Promotion Period (the "Giveaway Post") and tagging one (1) Instagram account in each comment. Each comment must tag a different account. A maximum of five (5) bonus entries will be awarded per entrant, for a maximum total of six (6) entries per entrant.

A comment does not constitute an entry unless the commenting account has also submitted the entry form described in Section 5.1 during the Promotion Period. Entrants must tag only real, active Instagram accounts of people they know, and must not tag accounts inaccurately or without a good-faith basis. Sponsor reserves the right to disqualify comments that tag duplicate accounts, non-existent accounts, or accounts tagged in bad faith.

5.3 Sharing. Sharing the Promotion by Instagram Direct Message, Instagram Story, or any other means is welcome but is not required to enter and does not earn additional entries.

6. Prize

One (1) Grand Prize will be awarded, consisting of two (2) Groh Everyday Foam Pits. Approximate Retail Value ("ARV") of each unit: $699.00 USD. Total ARV of the Grand Prize: $1,398.00 USD.

One (1) unit will be shipped to the verified winner's residential address within the contiguous forty-eight United States or the District of Columbia. The second (2nd) unit will be shipped by Sponsor directly to a second recipient designated by the winner, as described in Section 7.

The prize is awarded "as is" with no warranty or guarantee, express or implied, by Sponsor beyond any manufacturer's standard warranty. No substitution, transfer, assignment, or cash equivalent of the prize is permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value if the advertised prize becomes unavailable. Prize is not redeemable for cash and may not be resold. Shipping is limited to addresses within the contiguous forty-eight United States and the District of Columbia; no P.O. boxes.

7. "Win One, Give One" Second Recipient

7.1 Designation. Upon verification, the winner will designate one (1) second recipient to receive the second unit. The second recipient may be an individual, family, classroom, school, camp, or similar organization located within the contiguous forty-eight United States or the District of Columbia. The winner will supply the second recipient's name, shipping address, and a contact email address or phone number.

7.2 Winner does not handle the second unit. The second unit will be shipped by Sponsor directly to the designated second recipient. At no point does the winner take possession of, pay for, ship, or assume responsibility for the second unit.

7.3 Confirmation of acceptance. Sponsor will contact the designated second recipient directly to confirm acceptance and delivery details before shipping. Where the designated second recipient is a school, camp, or other organization, acceptance must be confirmed by an adult with authority to accept a donation on that organization's behalf. Sponsor's contact with the second recipient is solely for the purpose of confirming and fulfilling delivery.

7.4 If a designated recipient declines. If the designated second recipient declines, cannot be reached within five (5) business days, or is not authorized to accept, the winner will be asked to designate an alternate second recipient within three (3) business days. If no eligible second recipient has been confirmed within fifteen (15) days of winner verification, Sponsor reserves the right, in its sole discretion, to donate the second unit to a charitable organization of Sponsor's choosing. Sponsor's obligation with respect to the second unit is fulfilled upon such donation.

7.5 Eligibility of the second recipient. The designated second recipient is not required to enter the Promotion, follow @grohplayrooms, or meet the eligibility requirements of Section 4, other than being located within the shipping area described above.

8. Winner Selection

Following the close of the Promotion Period, each eligible entry will be assigned a unique sequential number. One (1) potential winner and one (1) alternate will be selected from among all eligible entries in a single random drawing conducted by Sponsor using a random-number-generating computer program. Entrants who have earned bonus entries under Section 5.2 will have one number assigned for each entry earned, up to the maximum of six (6). The drawing will be conducted on or about September 21, 2026. Odds of winning depend on the total number of eligible entries received during the Promotion Period.

9. Winner Notification and Verification

The potential winner will be notified by email and/or Instagram direct message using the contact information supplied at entry, within two (2) business days of the drawing. The potential winner must respond and confirm acceptance within forty-eight (48) hours of the first notification attempt and must supply a valid shipping address within the contiguous forty-eight United States or the District of Columbia, together with the second recipient information described in Section 7.

If a potential winner cannot be reached, does not respond within the time required, declines the prize, is found ineligible, has not complied with these Official Rules, or if any prize or notification is returned as undeliverable, the prize will be forfeited and awarded to the alternate, who will then be subject to the same verification requirements. If the alternate also forfeits, Sponsor reserves the right not to award the prize.

10. Publicity and Announcement

The winner will be announced on or about September 29, 2026 by Lance Bass (@lancebass) on Instagram, and may also be announced on the @grohplayrooms Instagram account. By entering, each entrant consents to Sponsor's use of the entrant's first name, last initial, city and state, and Instagram handle for the purpose of announcing and administering the Promotion, on either or both accounts, without additional compensation, notice, or approval, except where prohibited by law.

The designated second recipient will not be publicly identified. Sponsor will not disclose the second recipient's name, location, organization, or Instagram handle in any announcement or promotional material relating to the Promotion.

11. Taxes

All federal, state, and local taxes and any other costs and expenses associated with prize acceptance and use not expressly stated herein are the sole responsibility of the winner.

12. Privacy and Email Communications

Information collected from entrants is subject to Sponsor's Privacy Policy, available at https://shopgrohplayrooms.com/policies/privacy-policy. By entering, entrants consent to Sponsor's collection and use of the information provided for purposes of administering the Promotion.

By submitting the entry form, each entrant acknowledges that Sponsor will add the entrant's email address to Sponsor's marketing email list and that the entrant will receive commercial email messages from Sponsor. Every such message will identify Sponsor, include Sponsor's valid postal address, and provide a clear method to unsubscribe. Entrants may unsubscribe at any time, and doing so will not affect their entry, their eligibility, or their chances of winning.

Sponsor's contact with the designated second recipient under Section 7 is transactional only and does not enroll that recipient in any marketing program.

13. General Conditions

Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion, to be acting in violation of these Official Rules, or to be acting in a disruptive manner or with intent to annoy, abuse, threaten, or harass any other person. Sponsor reserves the right to cancel, suspend, or modify the Promotion, or any part of it, if fraud, technical failure, or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Promotion. In such event, Sponsor may select the winner from among all eligible, non-suspect entries received prior to the impairment.

14. Release and Limitation of Liability

By entering, each entrant agrees to release, discharge, and hold harmless Sponsor and its parent, affiliates, subsidiaries, members, officers, employees, agents, and advertising, promotion, and fulfillment agencies from and against any and all claims, liability, injury, loss, or damage of any kind arising out of or in connection with participation in the Promotion or the acceptance, receipt, possession, use, or misuse of any prize.

Winner acknowledges that the Everyday Foam Pit prize unit(s) are pre-production sample units and have not undergone the safety testing, certification, or quality control processes applied to Groh's commercially released products. Winner accepts the prize "as is" and assumes all risk associated with its use, and this acknowledgment applies equally to the unit shipped to the second recipient designated by Winner.

Sponsor is not responsible for late, lost, misdirected, incomplete, illegible, or undeliverable entries or notifications; for technical, hardware, software, network, or telephone failures of any kind; or for any injury or damage to any person's device related to or resulting from participation in the Promotion.

15. Instagram and Meta Release

This Promotion is in no way sponsored, endorsed, or administered by, or associated with, Instagram or Meta Platforms, Inc. By entering, each entrant completely releases Instagram and Meta Platforms, Inc. from any and all liability in connection with this Promotion. Entrants provide information to Sponsor, not to Instagram or Meta Platforms, Inc. Any questions, comments, or complaints regarding the Promotion should be directed to Sponsor and not to Instagram or Meta Platforms, Inc.

16. Disputes and Governing Law

All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of entrants and Sponsor in connection with the Promotion, shall be governed by and construed in accordance with the laws of the District of Columbia, without giving effect to any choice of law or conflict of law rules.
